Part-time Legal and Corporate Officer

 

For one of our clients, a well-established firm located in Contern, we are currently looking for a Legal and Corporate Officer on an 80% part-time contract (4 full days per week).

 

He/she will support the legal and compliance team on a variety of corporate governance and regulatory tasks, as well as the day-to-day life of investment funds and domiciliated entities. S/he will join a team of 3, consisting of a Head of Legal, a Corporate Officer and a Paralegal, and will also support the Head of Compliance with regards to AML/KYC requests.

The company is easily accessible by public transport (train or bus) and also offers train tickets to their cross-borders employees. Alternatively, there is also free parking spaces available within the building.

 

 

Your responsibilities:

 

  • Preparation of incorporation and formation documents, including amendments, mergers, and dissolutions;
  • Preparation of board resolutions and shareholder resolutions;
  • Ensuring all governance corporate law aspects of more than 140 legal entities, including the full corporate housekeeping, but also intercompany financing arrangements;
  • Preparation of board and investor meetings and identification of follow up items;
  • Taking minutes of board meetings;
  • Filings with the Luxembourg business registers (RCS filings, RBE filings);
  • Liaising with corporate service providers, auditors, notaries and other third parties on corporate and legal matters, etc.;
  • Reviewing investorscommunication and identification of follow up items;
  • Maintenance of a database and other registers;
  • Assisting the Compliance team with standard AML / KYC requests (including FATCA/CRS).

 

Your profile:

 

  • Bachelor's Degree in Corporate Law or in Business Administration or equivalent apprenticeship as notary clerk
  • Fluency in English is a must. The knowledge of German is an asset.
  • Min. 3 years of experience in fund or investment management. 
  • Strong analytical and organisational skills
  • Solid communication skills, creativity, and initiative. 
  • Strong coordination and teamwork skills;
  • Planning and organization skills, including the ability to manage a number of projects concurrently;
  • Proficiency in the use of MS Office is strongly preferred.
