Job Description

Our Client, a specialised investment fund based in Luxembourg, manages complex investment structures through its fully-owned subsidiary, listed on multiple stock exchanges.

They are seeking a skilled Legal Counsel to join their dynamic team. In this role, you will be instrumental in overseeing legal and regulatory compliance, leading internal audits, and supporting various governance and ESG initiatives.

Legal Counsel

 

Your responsibilities:

  • Monitor legal and regulatory developments regularly, drafting internal legal notes and policies to ensure compliance.
  • Assist with ESG-related tasks, including updating and managing required reporting.
  • Organise and lead internal audits, ensuring thorough and effective processes.
  • Support the audit of service providers and implement the procurement policy.
  • Periodically review and update internal policies and procedures as necessary.
  • Ensure adherence to all company policies and procedures.
  • Attend board of overseer’s meetings and draft accurate minutes.
  • Assist in the review of transactional and contractual documents.
  • Supervise the Assistant Company Secretary with updates on the company’s website.
  • Assist in preparing board packs, including drafting notes and providing updates on laws and regulations.
  • Update loan agreements as required.
  • Provide documentation to external auditors and other service providers.
  • Coordinate management share transaction reporting to the CSSF.
  • Assist with AML and KYC requests.
  • Maintain and ensure the accuracy of the document storage system.

 

Your profile:

  • Minimum of 5 years of experience in a legal role, preferably within a financial or investment firm.
  • Law degree, or university degree in a relevant field from a recognised university or business school.
  • Strong background in legal and regulatory compliance, with experience in managing internal audits.
  • In-depth knowledge of Luxembourg’s regulatory framework.
  • Excellent skills in drafting and reviewing legal documents, including transactional and contractual agreements.
  • Proficiency in managing board meetings and preparing detailed minutes.
  • Strong organizational skills, with experience in supervising and coordinating with internal teams.
  • Familiarity with AML and KYC requirements.
  • Detail-oriented with a proactive approach to problem-solving and compliance.
  • Team player who integrates well within an international team.
  • Fluent in English, with exceptional written and verbal communication skills.
