With a commitment to creating long-term value for all stakeholders and a belief that private equity should leave a positive legacy, they are seeking a motivated Associate Director - Legal Counsel to support their growing investment activity, including the fund launches and upcoming asset disposals.

 

Your responsibilities:

  • Work closely with senior stakeholders on high-value acquisitions and disposals involving major industry players.
  • Draft, review, and negotiate a wide range of legal documents, including transactional and corporate materials under the supervision of the general counsel and the investment team.
  • Support the legal aspects of fund launches and closings, particularly in relation to the upcoming Fund V.
  • Act as a point of contact under the direction of the general counsel with external legal and tax counsels and third-party service providers (including the AIFM, the auditors, the depositaries and central administrators).
  • Provide strategic legal input and oversight across various cross-border legal, regulatory and tax matters.
  • Keep abreast of Luxembourg and European legal developments that may have an impact on the business of the employer.
  • Assist with ad-hoc legal queries and initiatives as part of a lean and collaborative team.
  • Assist in the drafting and supervision of the implementation of internal policies.
  • Ensure compliance with Luxembourg and EU regulations (including AML) in coordination with internal and external stakeholders.
  • Support the structuring of fund vehicles and investment structures across multiple jurisdictions, taking into account regulatory & legal compliance, tax efficiency, and investor requirements.
  • Contribute to the review and design of legal and regulatory frameworks related to fund distribution, substance requirements, and cross-border structuring.
  • Monitor regulatory and tax developments (e.g., ELTIF, SFDR, AIFMD, DAC6, ATAD3) and assess their impact on fund operations and investment strategies.
  • Support internal stakeholders in preparing regulatory filings and documentation, including fund registration and reporting obligations.


Your profile:

  • 5-7 years of relevant experience. Experience with a reputable law firm with a strong focus on M&A, investment funds and/or tax is crucial.
  • Exposure to private equity funds and investment structures is highly desirable.
  • Strong structuring & transactional experience and a hands-on, proactive mindset.
  • Excellent command of English (written and spoken) is essential; other languages are an asset but not required.
  • Well-organised, detail-oriented, and capable of working autonomously within a small, high-performing team.
  • Confident communicator, able to interact with senior leadership and external partners.
