Associate - Corporate Officer

Your responsibilities:
- Coordinate board and committee meetings across group entities, including scheduling, agenda setting, preparing materials, and minute taking
- Oversee service providers and ensure timely delivery of governance-related tasks
- Ensure compliance with relevant laws, regulations, and internal policies
- Maintain statutory records and monitor external partners handling registers and databases
- Contribute to annual audits and shareholder meeting preparations
- Assist with the setup, restructuring, and closure of legal entities, including support on migrations and document updates
- Prepare corporate documents for decisions related to funding, repatriations, signatory appointments, and other governance matters
- Assist with the opening and ongoing administration of bank accounts
- Develop internal guidelines and propose process automation where possible
- Support internal initiatives and projects throughout the lifecycle of group entities
- Help draft and review transactional documentation and ensure timely corporate approvals
- Liaise with third-party providers and ensure quality of service across jurisdictions
Your profile:
- Degree in Law, Business, or related discipline preferred
- At least 2-5 years of experience handling corporate administration
- Solid track record in managing company secretarial tasks for Luxembourg entities with international structures
- Exposure to entities based outside Luxembourg is a plus
- Skilled in drafting legal and corporate documents with precision
- Able to work independently while contributing effectively to a team
- Comfortable managing multiple priorities under time pressure
- Detail-oriented with excellent time management and organizational abilities
- Discreet, ethical, and reliable in handling sensitive information
- Proficient in Microsoft Office and similar tools
- Strong communication skills, both written and verbal
- Fluent in English; additional languages—especially French—are an advantage
- Self-driven, solution-focused, adaptable, and methodical in approach
