Corporate Secretary – German speaker

Our client is a distinguished German investment firm based in the airport area in Luxembourg, with a particular focus on sustainable investments. They are currently expanding their team to strengthen their corporate governance capabilities.

As Corporate Secretary you will get the opportunity to work closely with the Conducting Officer and the Board of Managers.

Your Responsibilities:

  • Provide comprehensive Board support, including preparation of meeting agendas, board papers, and minutes whilst ensuring compliance with governance protocols
  • Manage and execute timely regulatory filings with relevant authorities, including annual reports and financial statements
  • Oversee shareholder communications and meetings (AGMs and EGMs), ensuring proper execution and documentation of resolutions
  • Maintain meticulous corporate records and statutory documentation
  • Handle FATCA/CRS requirements
  • Collaborate with internal teams (tax, legal, finance, compliance) and external stakeholders to maintain efficient operations
  • Serve as primary liaison with external advisors, auditors, and regulatory authorities

Your Profile:

  • Minimum 3 years' experience in corporate secretarial or governance roles
  • Fluent German language skills required, with a very good English proficiency
  • Good knowledge of Luxembourg corporate law and regulations
  • Exceptional organisational abilities with meticulous attention to detail
  • Demonstrated ability to work independently and manage multiple priorities
  • Strong analytical capabilities with experience in resolving complex matters
  • Proficiency in Microsoft Office Suite and relevant corporate governance software
  • Professional qualifications in corporate governance, or company secretarial practice (ICSA) would be beneficial
