Job Description
Our Client, a prominent investment firm with a strong presence in Luxembourg, is seeking a seasoned legal professional to join their team as Director In-House Legal Counsel.
The successful candidate will take ownership of legal and compliance matters across a portfolio of Luxembourg holding companies and investment structures, while playing a leading role in deal execution and regulatory oversight.
Your areas of responsibility:
Investment Funds
- Set up and maintain legal documentation for RAIFs, SCSPs, and Delaware funds.
- Draft, finalise and update key fund documents, including PSA, LPA, PPM, and Side Letters.
- Provide legal advice to the Board of the GP company.
- Lead legal due diligence and KYC for new investments.
- Collaborate with the AIFM on investment reporting and legal matters.
- Coordinate compliance matters with the Responsible Conducting Officer.
- Liaise with external company secretaries and legal advisors.
- Draft and finalise loan agreements for underlying investments.
Luxembourg Holding Company
- Organise and attend regular board and shareholder meetings in Luxembourg.
- Ensure appropriate documentation of board meetings, including minutes, approvals, and filings.
- Manage compliance filings with local authorities (e.g. KYC, UBO, RAIFs).
General Legal & Compliance Oversight
- Monitor external legal costs and ensure cost-efficiency.
- Build strong internal relationships with senior stakeholders.
- Act as a legal advisor to the Board on various projects.
- Lead and motivate legal and operational colleagues.
Your profile:
- + 13 years’ experience in Luxembourg investment fund law.
- Prior experience in a senior management legal role, ideally in private equity.
- Strong knowledge of Luxembourg’s corporate and fund regulatory landscape; knowledge of the U.S. market is a plus.
- Experience working with AIFMs is highly valued.
- Demonstrated ability to manage complexity and conflicting demands.
- Excellent interpersonal and stakeholder management skills.
- Fluent in English; proficiency in Luxembourgish and/or German preferred (French is a plus).
- Team-oriented, hands-on approach with the ability to work independently.
- Based in or open to relocating to Luxembourg.
