Job Description

Join a leading European law firm with a growing presence in Luxembourg.

They are seeking a Legal Counsel – Funds to advise clients on fund structuring, regulatory compliance, and cross-border transactions, working closely with an experienced international team.

 

Your areas of responsibility:

  • Advising clients on the structuring, establishment, and operation of investment funds (UCITS, AIFs, and other fund vehicles) in Luxembourg.
  • Providing legal and regulatory guidance on fund-related matters, including licensing, marketing, and cross-border distribution.
  • Drafting, reviewing, and negotiating fund documentation such as prospectuses, partnership agreements, constitutional documents, and management agreements.
  • Assisting clients with ongoing compliance with Luxembourg regulatory requirements, including CSSF guidance and EU legislation.
  • Supporting fund managers, administrators, and institutional investors with governance and operational matters.
  • Monitoring and interpreting regulatory developments at both EU and Luxembourg levels and advising clients on their impact.
  • Acting as a key point of contact for international clients and coordinating with colleagues across different practice areas when needed.

 

Your profile:

  • At least 5–7 years of professional experience in a leading law firm, fund management company, or financial institution.
  • Qualified lawyer, admitted to the Luxembourg Bar or another EU Member State Bar, with significant post-qualification experience in investment funds.
  • At least 5–7 years of professional experience in a leading law firm, fund management company, or financial institution.
  • Strong knowledge of Luxembourg fund regulations, including UCITS and AIFMD frameworks.
  • Experience with both traditional and alternative investment fund structures (including private equity, real estate, and debt funds).
  • Excellent drafting and negotiation skills with a pragmatic and solution-oriented approach.
  • Strong communication skills in English; French and/or German will be considered an asset.
  • Proactive, collaborative, and client-focused, with the ability to manage complex assignments independently.
