Job Description
Our client is a leading U.S. private equity firm that is currently looking for a Senior Legal Associate to join their dedicated team in Luxembourg, playing a vital role in corporate governance, compliance, and transaction activities. This role offers substantial exposure to private equity transactions and opportunities for professional growth and development, providing a fulfilling and dynamic work experience every day.
Your Responsibilities
- Manage the governance framework for in-house entities, ensuring compliance and maintaining statutory records.
- Independently coordinate board meetings, prepare agendas, draft and review minutes, and ensure smooth meeting processes.
- Prepare, coordinate, and review private equity legal documentation, handling drafting timelines, signatures, and filing in line with guidelines.
- Conduct compliance checks, manage KYC processes, and support AML procedures, coordinating with banks and financial institutions to meet Luxembourg’s standards.
- Act as the main contact for external legal advisors, notaries, and third parties, managing incorporations and liquidations.
- Oversee filing, signature follow-ups, and submission of legal forms to authorities with accuracy.
- Support the development of legal processes and best practices to streamline operations and enhance compliance culture.
- Additional responsibilities include drafting and reviewing corporate documentation, responding to legal inquiries, and maintaining organised digital records in line with regulatory requirements.
Your Profile
- You are a proactive and experienced legal professional with a minimum of 6 years in legal and corporate secretarial roles.
- Can-Do Attitude: A positive approach to challenges and hands-on readiness.
- Solution-Oriented Mindset: Skilled in providing clear, actionable solutions in complex situations.
- Strong Communication Skills: Able to effectively engage stakeholders at all levels across global teams.
- Organisational & Prioritisation Skills: Exceptional at managing multiple priorities independently, even under pressure.
- Fluency in English; additional fluency in French or another European language is an advantage.
