Business Control and Transaction Monitoring Manager - Private Equity

 

 

The Business Control and Transaction Monitoring Manager will join the head office of an international privately-owned investment group with a broad range of investments in the following sectors: energy, telecom and technology, health, retail, PE and public markets.

 

This Private Equity investment company offers a truly diverse and collaborative environment. Their Luxembourg office boasts an international team, with more than 10 different nationalities represented, while preserving a warm and respectful atmosphere.

 

The office is currently located in the city center of Luxembourg and will move to Strassen in the summer.

 

Your Responsibilities:

 

Reporting to the Director of Corporate Development, you will work WITH the Finance Team, but not IN the Finance Team, and support the Director of Corporate Development in all of his responsiblities. The role is diverse, with varying levels of responsiblity (depending on skillset/strengths and evolving over time). Also, depending on your profile, you will be trained on some aspects (flexibility is required).

 

The role has 4 main areas of responsiblity:

 

  1. Group-wide head office oversight:
  • Monitoring and control over business units and portfolio companies and ensuring the quality of board materials, including business unit performance and benchmarking reporting;
  • Preparation of investment monitoring slides for quarterly Board meetings;
  • Critical review, challenge, and approval of year-end valuations of portfolio companies (impacts incentives);
  • Act as a Corporate Secretary and/or minute taker on different boards and committees of different entities within the Group;
  • Act as a Manager for different Head Office Companies

 

  1. Incentive programs design and monitoring:
  • Critical review and approval of financial models for calculation of carried interest, long-term incentives and annual bonuses for the deal teams and advisory boards;
  • Critical review and approval of calculation of carried interest for third-party Private Equity funds in which the company had significant limited partnerships.
  • Interacting with external consultants, legal counsels and tax advisers;
  • Oversee process for employee co-investment in portfolio companies, with associated loans
  • Depending on progress, ability to structuring and modelling of long-term and short-term compensation arrangements for the deal teams;
  •  
  1. Group-wide cash flow management:
  • Creation of Fund Flow Memorandums, project plans, and coordination/oversight of cash moving through group (e.g. at deal closing);
  • Liaising with the tax, finance and legal teams, ensuring no unforeseen tax or legal implications
  • Co-ordinating cash requirement calls between the treasury department and deal teams;
  1. Other special projects and ad-hoc requests:
  • Commercial input on group structure/re-structuring, reviews of potential deals, valuation, analysis, modelling, developing presentations, info memos, minutes and notes etc.
  • Ability and willingness to get involved in a wide variety of different projects

 

 

Your Profile:

 

  • Approximately 4 – 6 years of PQE in Big 4 or similar consulting /PE /investments in Transaction Services domain
  • Fluency in English is mandatory
  • High achiever, willingness and ability to learn and develop quickly
  • Excellent problem-solving skills, solid judgement and pragmatic approach
  • Accounting skills, knowledge of transactions, PE world, incentives, top class excel skills, bright & personable
  • Ongoing CFA or CAIA qualification is a plus
  • Modelling / Valuation experience is a strong asset
  • Project management skills: the ability to work independently to produce quality results, meet deadlines to negotiate project timelines between various teams with different priorities
  • Results-oriented, driven and motivated for personal and team results
  • Flexibility in terms of responsiblities, willingness to learn, adjust and adapt
