They are seeking an Associate – Corporate Secretarial Services (CoSec) to join their dynamic team and support a complex portfolio of client entities, ensuring regulatory compliance, maintaining corporate documentation, and assisting with board governance processes.
Your areas of responsibility:
- Manage a portfolio of clients within a single client relationship.
- Maintain and update client files and statutory records in line with regulatory and internal standards.
- Handle administrative tasks including regulatory filings, RBE register updates, RCS deposits, document execution, safekeeping, and legalisation processes.
- Support company lifecycle events such as formations, dissolutions, AGMs, EGMs, and ad-hoc corporate secretarial matters (e.g., director changes, registered office updates, share capital adjustments).
- Draft, finalise, and manage resolutions and other corporate documentation.
- Assist with board support activities including meeting organisation, coordination with attendees, preparation/distribution of materials, drafting minutes, and post-meeting follow-ups.
- Monitor task tracking systems and prioritise workload effectively, escalating conflicts or delays as needed.
- Liaise professionally and independently with fund service providers and clients.
- Participate in team projects, contribute to process improvements, and provide support to colleagues as required.
- Maintain accurate company registers and adhere to internal policies and jurisdiction-specific procedures.
Your profile:
- Minimum of 2 years of experience in corporate secretarial roles.
- Degree in Business, Law, or equivalent experience in company secretarial services.
- Strong knowledge of Luxembourg corporate and fund regulations.
- Highly organised, proactive, and detail-oriented, with strong prioritisation and time management skills.
- Ability to work independently under pressure and meet tight deadlines.
- Fluent in English (written and spoken).
- Proficient in MS Office (Word, Excel, Outlook, Teams).
