 Exciting opportunity as Legal Director for a boutique RE Asset Management firm in Luxembourg

 

Our client, a dynamic and truly entrepreneurial pan-European Real Estate Investment and Asset Management Company, is currently looking for a motivated, confident and experienced German-speaking Lawyer to join its exciting, positive and highly competent team and actively support its business development in Germany as a Legal Director (German-speaking).

 

Your responsibilities:

  • Acting as an internal legal adviser;
  • Drafting and reviewing corporate legal documents e.g. agreements, loans, SPAs, share registers, POA’s, convening notices, shareholders and board resolutions, appointments / resignation of Managers, change of registered office, , distributions, amendments of AoA;
  • Taking primary responsibility for drafting of intragroup financing documentation;
  • Coordinate the necessary steps for company incorporation, registration, capitalisation and liquidation;
  • Performing ad hoc legal tasks such as drafting of employment agreements and its addenda, reviewing commercial agreements, letters and correspondence;
  • Maintaining a proper data room/ ensuring all company records and statutory registers are properly maintained and updated on a timely basis;
  • Arranging relevant filings with the local trade registers, notarization and apostilling of documents where needed;
  • Holding board member mandates in the HoldCos and SPVs under management;
  • Prepare, convene and hold shareholders and board meetings;
  • Take part in quarterly board meetings in Luxembourg and abroad, using experience and drawing on others experience to make decisions at these meetings and prepare the minutes on a timely basis;
  • Ensure compliance with corporate and regulatory requirements;
  • Acting as a data protection officer for the group;
  • Dealing with compliance and KYC queries / ensuring good corporate governance and awareness of staff on compliance matters;
  • Reviewing financial statements, ensuring prompt execution of engagement letters, preparing documents for the approval of annual accounts;
  • Reviewing tax returns, preparing and filing of the WHT returns;
  • Reviewing and approving investment memorandums and financing /refinancing activities;
  • Being responsible over opening of bank accounts and bank authorities / signatory powers;
  • Reviewing and authorizing payments on a daily basis;
  • Liaising with accounting teams, external lawyers, banks,  notaries and administration;
  • Monitoring changes in company and business law in Luxembourg and main European jurisdictions;

 

Your Profile:

  • Master degree in law with bar registration preferably in Germany
  • At least 5 years of experience in corporate law, M&A with a strong understanding of the Luxembourg legal framework and Real Estate
  • Highly skilled communicator in German and English with excellent interpersonal skills; possesses the ability to forge trusted relationships at all levels
  • Driven, hard-working, available and fully dedicated
  • Naturally highly organised and methodical, with the ability to learn very quickly
  • Highly motivated, able to work under pressure and manage deadlines, flexible attitude, prepared to go the extra mile to deliver
  • Excellent attention to detail
