Legal Manager – Insurance sector

Due to its growth, this dynamic financial service provider and consulting firm which specialises in insurance / reinsurance has opened a new position of Legal Manager. The Legal Manager will work together with one senior legal officer and one junior (to be recruited soon), and will report to the COO and the Executive Committee. This mid-size company offers a great work environment and is ideally located in the city centre of Luxembourg.

Possibility to work full time or part-time (80%).


Your Responsibilities

 The main responsibilities of the Legal Manager will be :

  • Coordination of the Legal team
  • Any corporate legal operations (capital increase, merger, application file with regulators, incorporations, liquidations, …)
  • M&A operations lead
  • GDPR
  • Anti-Money Laundering operations (‘AML’)

 This will include:

  •  Review service contracts and any contractual documentation issued by the entities of the company
  • Monitor and follow-up the Fit and Proper processes with the regulator
  • Maintain accurate records and statutory registers
  • Ensure the compliance of the Company with AML/KYC and data protection requirements, with all applicable laws and internal policies and procedures
  • Keep up to date with the regulatory framework
  • Ensure policy and procedures reflect relevant regulations
  • Identify existing and upcoming regulations and requirements which may affect the business
  • Draft and update policies and procedures according to the existing and new regulations
  • Develop, maintain and control the application of the company’s internal Compliance procedures
  • Take care of the day-to-day legal operations of the company
  • Draft and review contracts and legal documents related to the running of the company
  • Review the work provided by junior colleagues and provide support when needed
  • Organise board meetings, take minutes, take care of RCS filings, write resolutions
  • Maintenance of the company’s files
  • Coordinate with external stakeholders, when required

Your profile

  • Degree in Law
  • Fluency in French and English
  • Minimum 5 years of experience in a similar position
  • Experience in a regulated environment is a must
  • Experience in the insurance / reinsurance sector is an asset
  • Can-do attitude, entrepreneur mindset
  • Able to work autonomously and take on the role „from scratch“
  • Hands-on mentality, flexibility required in terms of tasks (as the legal team is rather small)
