Job Description

Our client is one of the largest and most experienced global private equity investors with a substantial presence in Luxembourg.


For their corporate services department our client seeks to find a managerial experienced Senior Corporate Manager who will coordinate, manage and develop a team of Corporate Officers.


The main tasks of the corporate services unit are:


Board meetings (incl. Credit Panel)

  • Prepare the schedule
  • Provide instructions to the Office Manager in charge of the organization
  • Prepare and communicate the agenda
  • Obtain the supporting documentation to be reviewed during the Board Meeting
  • Draft and organize the review by the Deal Team of the Board meeting minutes
  • Organize the sign-off
  • Deal with the Board Meeting schedule update
  • Deal with the status of the Board meeting's minutes



  • Provide AML letter template
  • Complete the KYC requests
  • Draft and deal with the sign-off of the authorized persons
  • Submit review with Compliance Team and lawyers


Incorporation and follow-up

  • Draft the structure chart
  • Obtain from the external lawyers and archive the documentation for incorporation of holding entities 
  • Obtain and archive signed copy of the registers from the external lawyers and check information with the assistance of the Corporate Manager
  • Ensure that the latest updated version of the register is signed and available in our archives
  • Proceed with the FATCA / CRS filing and archive related forms 
  • Accompany and ensure the daily administrative and social management of the entities in portfolio
  • Archiving properly and systematically the legal documentation
  • Maintain the entity follow-up spreadsheet updated 


Director / Advisors fees

  • Review invoices 
  • Complete the related tax forms and submit for sign-off



  • Handle printing and sign-off of documentation 


Your skills and experience:

  • At least 8-10 years relevant experience in corporate services / corporate legal administration including supervision of a team
  • Excellent verbal and written communication skills, with the ability to build relationships across the business, operating with all levels of management
  • Good listening skills
  • Team player with a positive attitude, able to build effective working relationships
  • Highly organized, with good personal time management
  • Ability to deliver high quality work, on time, each time
  • Fluency in French and English
