Legal Manager, Fund Management Credit Unit
The Opportunity:
An excellent opportunity to join a prestigious US PE firm as a Legal Manager. You will be an integral
part of an ambitious and hard-working credit fund team in Luxembourg that is growing quickly,
contributing to the global fund operations of the business.
You will be responsible for providing legal support to the Fund Management Credit Unit, assisting in
the day-to-day administration of Luxembourg companies, ensuring compliance with legal
requirements and working with the deal teams at various stages of investment and transactions. The
role requires strong knowledge and understanding of Luxembourg corporate law, private equity
investments, and credit structures.
Primary Responsibilities:
• Drafting and/or review of the relevant documentation and supervision of the
administration of all Luxembourg companies
• Review and/or draft of contracts, agreements, reports
• Drafting and/or review of any kind of documents prepared internally or by service
provider and ensure their compliance with Luxembourg law requirements
• Take care of Luxembourg or foreign compliance enquiries (know-your-customer or
beneficial ownership requests)
• Support to the corporate bodies
• Shareholders: review and/or drafting of all the documentation for shareholders’ general
meetings (annual, ordinary and extraordinary) : convening notices, proxies, minutes
• Board of Managers: organization of quarterly meetings held in Luxembourg: coordination
dates, prepare board pack, review of the minutes
• Review and/or draft of resolutions of the Board of Managers and of the Shareholders
and all related documentation as and when needed in particular as regards financing of
investments and periodical funds upstream (distributions)
• Follow-up of the investment transactions
Requirements
• Bachelor’s degree in Law
• Registration at the Luxembourg Bar is required
• Minimum of 5 years of experience (ideally 7) in a similar position or as a corporate
lawyer specialized in private equity (ideally in a law firm)
• Transaction experience required
• Experience of credit environment is required
• Demonstrated knowledge in Credit products
• Fluent in English, French to be considered as an advantage - any additional foreign
language is an asset
• Strong knowledge and understanding of Luxembourg corporate Law
• Good knowledge and understanding of private equity investment and or credit structure
structures, of their legal and administrative requirements and day to day business
• Good experience in coordinating with third-party investors, accountants and attorneys
• Flexibility and collaborative attitude
• Ability to work under pressure in a fast-paced environment
• Excellent communication skill – both verbal and written
• Good experience in assisting with management of a team and coordination with other
internal departments and external parties
