Sophisticated investment analysis and oversight role as In-house Analyst Corporate Finance (Commercial Manager) in the front office of a major investment group headquartered in Luxembourg
For the head office of an international privately-owned investment group we are looking to recruit an In-house Analyst Corporate Finance (Commercial Manager) reporting to the Director of Corporate Development with significant exposure to the COO and CEO of the Group. Across a broader spectrum of geographies our client invest in the following sectors: energy, telecom and technology, health, retail, PE and public markets.
Your responsibilities:
- Group-wide head office oversight:
- Risk management framework;
- Monitoring and control over business units and portfolio companies and ensuring the quality of board materials including business unit performance and benchmarking reporting;
- Preparation of investment monitoring slides for quarterly Board meetings;
- Critical review, challenge, and approval of year end valuations of portfolio companies (impacts incentives);
- Quarterly Group Board meeting coordination;
- Act as a Corporate Secretary and/or minute taker on different boards and committees of different entities within the Group;
- Incentive programs design and monitoring:
- Structuring, modelling and negotiation of long-term and short-term compensation arrangements for deal executives and Advisory Boards;
- Critical review and approval of financial models for calculation of carried interest, long-term incentives and annual bonuses for deal executives and advisory boards;
- Critical review and approval of calculation of carried interest for third party Private Equity funds in which we are significant LP;
- Interacting with external consultants, legal counsels and tax advisers;
- Oversee process for employee co-investment in portfolio companies, with associated loans
- Group-wide cash/FX oversight:

- Creation of Fund Flow Memorandums, project plans, and co-ordination/oversight of cash moving through group (e.g. at deal closing);
- Monitor group FX exposure (including investments in portfolio companies);
- Co-ordinating cash requirement calls between treasury department and deal teams;
- Other special projects and ad-hoc requests: commercial input on group structure/re-structuring, reviews of potential deals, valuation, analysis, modelling, developing presentations, info memos, minutes and notes etc.
Requirements:
- +3 years of PQE in Big 4 or similar consulting/PE/IB in Transaction Services domain (up to max 8 years)
- Accounting skills, knowledge of transactions, PE world, incentives, top class excel skills, bright & personable
- High achiever, willingness and ability to learn and develop quickly
- Excellent problem-solving skills, solid judgement and pragmatic approach
- Project management skills: ability to work independently, produce quality results and meet deadlines
- Results oriented, drive and motivation for personal and team result
